Aurevia Research

Terms and Conditions

Effective Date: September 15, 2026

Aurevia is operated by Aurevia Research LLC, a limited liability company based in New York City (“Aurevia,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern access to and use of our website, account services, purchases, and related services that link to these Terms (collectively, the “Services”).

1. Introduction and Acceptance

Our Privacy Policy explains how we process personal information. Any Product Disclaimer, Acceptable Use Policy, or other policy expressly identified and made available when you accept these Terms also forms part of your agreement with us. Cookie practices are described in our Privacy Policy and any separate Cookie Policy we publish.

By affirmatively accepting these Terms when applying for access, creating an account, or submitting an order, you agree to be bound by them. If you do not agree, do not complete registration or submit an order. Merely following a social media account does not, by itself, constitute acceptance of a purchase agreement.

If you act on behalf of an organization, you represent that you have authority to bind that organization. “You” refers to you and, where applicable, that organization.

2. Eligibility and Restricted Access

You must be at least 21 years old, or the age of majority in your jurisdiction if higher, and legally capable of entering into this agreement.

Access to purchasing is subject to application and individual approval. Registration does not guarantee approval or acceptance of any order. We may request information reasonably necessary to assess identity, institutional or professional affiliation, intended research use, and purchasing authority.

You must provide accurate, complete, current information and promptly update material changes. You may not misrepresent your qualifications, research purpose, identity, or affiliation.

Approval is permission to use our purchasing services; it is not certification of your qualifications or regulatory authorization for a particular activity.

3. Research Use Only

ALL PRODUCTS ARE OFFERED SOLELY FOR LAWFUL IN-VITRO LABORATORY RESEARCH BY QUALIFIED PERSONNEL. THEY ARE NOT FOR HUMAN OR ANIMAL ADMINISTRATION OR CONSUMPTION.

You agree not to inject, ingest, inhale, apply, or otherwise administer our products to any person or animal. This is a contractual restriction on the use of products purchased from Aurevia.

Products may not be used for self-experimentation, clinical use, diagnosis, treatment, prevention, mitigation, or cure of disease, or incorporated into medicines, foods, dietary supplements, cosmetics, household products, agricultural products, or pesticides.

Products are not offered as FDA-approved products for human or veterinary use. A research-use designation does not itself establish an exemption from applicable laws or regulatory requirements.

You may not resell, repackage, relabel, redistribute, or transfer products to a third party without Aurevia’s prior written authorization. Authorization, if given, does not permit prohibited end uses.

4. Purchaser Responsibilities and Product Handling

You represent that you have the training, facilities, equipment, supervision, and authority necessary to receive and handle research materials safely.

Before opening or handling a product, review the label, available safety data, storage requirements, and accompanying documentation. Follow applicable laboratory safety procedures and requirements for handling, transport, storage, and disposal.

You are responsible for determining whether your intended research and possession or use of a product are lawful, and for obtaining any approvals required for your activities. Where applicable, this includes obligations under the Toxic Substances Control Act and related rules. Nothing in these Terms establishes a TSCA exemption or transfers Aurevia’s own legal obligations to you.

You acknowledge that research materials may present hazards that are not fully characterized. You assume responsibility for risks arising from your improper handling, unauthorized use, or failure to follow applicable safety requirements, subject to rights and liabilities that cannot lawfully be excluded.

5. Website Information and Product Documentation

Website articles, product descriptions, and related communications are provided for general informational and research purposes. They are not medical advice, dosing guidance, or authorization to conduct human or animal research.

References to published studies do not authorize uses prohibited by these Terms. Any certificate of analysis or test report relates only to the identified sample or batch and the tests reported; it does not establish clinical safety, efficacy, or suitability for human or animal use.

6. Accounts and Acceptable Use

Keep account credentials confidential and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize through your account.

You may not bypass access restrictions, submit false attestations, impersonate another person, interfere with website security, introduce malicious code, or use the Services for unlawful purposes.

7. Prices and Availability

Prices and availability may change before an order is accepted. Applicable taxes, shipping charges, and any other disclosed charges will be shown before you submit your order.

We may correct errors in descriptions, availability, or pricing. If a correction affects a submitted order, we will notify you and obtain your agreement to a revised total or cancel the affected order and refund amounts paid. We will not charge an increased amount without your authorization.

8. Payment Methods

Orders are paid in digital assets. We do not accept credit or debit cards, and we never collect, hold, or have sight of your card details, bank account numbers, or banking credentials.

Payment is made through our payment page, which issues a deposit address unique to your order. The assets and networks we accept are shown on that page at the time you pay, and at present include USD Coin (USDC), Tether (USDT), PayPal USD (PYUSD), Ether (ETH), Solana (SOL), and Bitcoin (BTC), across the networks named beside each asset. Only the assets and networks displayed on your payment page are accepted.

If you do not already hold digital assets, our payment page also links to independent third-party providers who will sell them to you. Any such purchase is a separate transaction between you and that provider, on that provider’s terms, and subject to that provider’s identity checks, limits, fees, and geographic restrictions. We are not a party to it, we receive no part of what you pay them, and we cannot resolve a dispute arising from it. Their availability is theirs to determine and may change without notice.

9. Payment

Order totals are denominated and displayed in United States dollars, inclusive of any applicable tax and shipping shown before you submit your order. The amount of digital assets payable is calculated from that dollar total at the rate quoted on your payment page when the payment is created, and is shown to you as an exact figure before you send anything.

Payment is due in full before despatch. An order is accepted, and only then processed for despatch, once payment is confirmed on the relevant network for the full amount. Nothing ships against an unconfirmed or incomplete payment.

You must send the exact asset, on the exact network, and in the exact amount shown on your payment page. Assets sent on a different network, or in a different asset, may be permanently unrecoverable by you and by us. Where you fund the payment through a third party, that third party’s fees and exchange rate are theirs, not ours, and you remain responsible for ensuring the full amount arrives.

If we receive less than the amount due, your order is held and we will contact you. You may send the balance to the same deposit address, or ask us to return what was received, less the network fee required to send it. If we receive more than the amount due, we will return the excess or credit it to your account, as you prefer.

We are the seller and merchant of record for the goods you buy from us. Where you fund your payment through a third-party provider, it is that provider’s name, not ours, that will appear on your card or bank statement for that funding transaction. We tell you this on the payment page before you pay, so that the entry on your statement is not a surprise.

Payments made on a public network are irreversible once confirmed. They cannot be recalled, reversed, or charged back by you, by us, or by any bank. Refunds, where due under these Terms or under applicable law, are made by us as a separate payment under section 13.

10. Orders and Acceptance

Submitting an order constitutes an offer to purchase subject to these Terms. An automated acknowledgment confirms receipt and does not itself constitute acceptance.

An order is accepted when we send an express acceptance or shipment confirmation. Before acceptance, we may decline or cancel an order for a legitimate reason, including unavailability, an unresolved error, inability to verify eligibility, suspected fraud, or indications of prohibited use. Amounts collected for an order we decline or cancel will be refunded as required by applicable law.

Our internal review or acceptance process does not extend legally required shipping, cancellation, or refund deadlines.

11. Shipping and Delivery

Shipping estimates and available delivery options will be provided during ordering or in subsequent order communications. You must supply an accurate address and arrange for suitable receipt and storage.

If we cannot ship within the stated time, or within the legally applicable period when no time is stated, we will provide the required delay notice and cancellation or refund options. We will obtain consent to delays where required by law.

Please report missing, damaged, incorrect, or misdelivered shipments promptly, preferably within 48 hours after delivery or discovery of the issue. Include your order number, a description, and photographs where relevant. This requested reporting period does not eliminate rights or remedies available under applicable law.

Retain packaging and affected products when safe to do so, and follow our instructions before returning research materials.

12. Cancellations

You may request cancellation through our Contact Us form before an order is approved for processing. After processing begins, cancellation may not be operationally possible.

This restriction does not limit cancellation or refund rights arising from shipping delays, nonperformance, or applicable law. We will notify you of the outcome of your request.

13. Returns and Refunds

We do not accept returns of material that has left our custody. Once a shipment has been delivered we cannot verify how it was stored, whether the cold chain was maintained, or whether a seal was broken, and we will not return unverifiable material to stock or supply it to another purchaser. This restriction exists to protect the integrity of what we supply, not to avoid refunds.

We will put right any order that arrives damaged in transit, incomplete, or containing an item other than the one you ordered. Tell us within 7 days of delivery through our Contact Us form, quoting your order reference and the lot number printed on the item, and include photographs of the outer packaging, the inner packaging, and the item itself. On verifying the claim we will, at our discretion, replace the affected item or refund it.

Do not send anything back to us before we have issued a return authorisation. Material returned without one is destroyed on receipt and is not refunded.

Approved refunds are issued within 10 business days of our decision. Unless we agree otherwise with you, a refund is paid in the same digital asset you paid in, to the address the payment came from, at the dollar value of the refunded item. Network fees required to send a refund are deducted from it. Because the value of digital assets moves, the amount of the asset you receive back may differ from the amount you sent even where the dollar value is identical, and we do not compensate for that movement.

Nothing in this section limits any right you have that cannot be waived under applicable law.

14. Privacy and Electronic Records

IP addresses, browser information, device information, and activity records may constitute personal information. Their collection, use, disclosure, security, and retention are governed by our Privacy Policy.

Where recorded by our systems, we may retain the version of Terms presented, acceptance timestamps, eligibility attestations, order details, IP addresses, browser information, and associated account identifiers to document transactions and acceptance, investigate misuse, resolve disputes, and establish, exercise, or defend legal claims.

Records are retained only as reasonably necessary for these purposes or as required by law, including applicable preservation obligations. Such records may be presented as evidence, subject to applicable evidentiary rules; they are not automatically conclusive proof of identity, acceptance, or conduct.

15. Intellectual Property

The Aurevia name, logo, website design, original text, images, and other content are owned by or licensed to Aurevia and protected by applicable intellectual property laws.

You may access the Services for their intended purposes. Except as permitted by law or with prior written consent, you may not reproduce, commercially exploit, modify, or use our branding or content in a way that suggests affiliation, endorsement, or authorization.

16. Third-Party Services and Links

The Services may link to third-party websites or use third-party services. Those providers operate under their own applicable terms and privacy policies.

We do not control third-party content or independently operated services. This provision does not disclaim responsibilities that applicable law places on Aurevia for its own conduct or its use of service providers.

17. Warranties

Except for express written commitments accompanying a sale, and to the extent permitted by law, the Services and products are provided “as is” and “as available.”

TO THE EXTENT PERMITTED BY LAW, AUREVIA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not promise that website access will be uninterrupted or error-free, or that a product will produce a particular research result. Nothing in this section negates an express product specification or warranty, excuses delivery of nonconforming goods, or excludes protections that cannot lawfully be waived.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Aurevia and its members, managers, officers, employees, and agents will not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost research opportunities, or lost data, arising from the Services or products.

To the fullest extent permitted by law, Aurevia’s aggregate liability for claims arising from a particular order will not exceed the amount you paid for that order.

These limitations do not apply to fraud, gross negligence, willful misconduct, or any liability or remedy that applicable law prohibits limiting or excluding. They do not eliminate legally required refunds.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Aurevia and its members, managers, officers, employees, and agents from third-party claims, damages, and reasonable costs, including reasonable attorneys’ fees, to the extent caused by your unlawful or prohibited use of products, material misrepresentation, or material breach of these Terms.

This obligation does not apply to the extent a claim results from Aurevia’s negligence, willful misconduct, breach of these Terms, or violation of law.

Aurevia will give reasonably prompt notice of a claim and reasonable cooperation. You may not settle a claim in a manner that admits fault by, imposes a nonmonetary obligation on, or fails to release an indemnified party without that party’s written consent, which will not be unreasonably withheld.

20. Events Beyond Reasonable Control

Neither party will be responsible for a delay or failure caused by events beyond its reasonable control, such as natural disasters, widespread transportation interruptions, war, or government restrictions, to the extent performance is actually prevented.

The affected party must give reasonable notice and take reasonable steps to reduce the impact. This section does not eliminate required shipping-delay notices, cancellation rights, refunds, or other nonwaivable obligations.

21. Suspension and Termination

We may suspend or terminate access or decline future transactions when reasonably necessary to address a breach, suspected fraud, prohibited use, security concerns, or legal requirements. We may act without advance notice where immediate action is reasonably necessary.

Termination does not eliminate accrued rights, required refunds, or provisions intended to survive, including relevant intellectual property, liability, indemnification, and dispute provisions. Personal information remains subject to our Privacy Policy and applicable law.

22. Complaints and Contact

Submit questions, complaints, cancellation requests, or order concerns through the website’s Contact Us form. Include relevant order details and supporting information.

We will review complaints in good faith. Contacting us first does not prevent you from contacting a regulator or exercising a legal right.

23. Governing Law and Venue

These Terms are governed by New York law, without regard to conflict-of-law principles, except where mandatory protections of another jurisdiction apply.

Subject to applicable jurisdictional requirements and any nonwaivable rights, disputes arising from these Terms will be brought in a state or federal court of competent jurisdiction located in New York City. The parties consent to personal jurisdiction in those courts to the extent permitted by law.

24. Changes to These Terms

We may revise these Terms and update the effective date. Changes apply prospectively. Accepted orders remain governed by the version applicable when accepted unless you expressly agree otherwise or applicable law requires a change.

We will provide notice of material changes and obtain renewed acceptance where required. Posting a new version does not retroactively change an existing claim or completed transaction.

25. Entire Agreement, Severability, and No Waiver

These Terms, the policies expressly incorporated at acceptance, and any applicable written order agreement form the entire agreement concerning their subject matter. A separately signed agreement controls to the extent it expressly modifies these Terms. Nothing here excludes liability for fraud or rights that cannot be waived.

If a provision is unenforceable, it will be severed or limited to the extent permitted by law, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.
